You are cordially invited to NARIP’s

How To Market & License Music For Film & TV

on Thursday, June 17, 2010

in Houston

With declining record sales, the focus on placing music in film, TV and other media has skyrocketed. Placements are the new coin of the realm, and in this latest of NARIP’s “Art of the Music Deal” series, two experts face off in a live negotiation of key deal points and contractual issues in a music license agreement.

We will also discuss marketing music for film and TV to make it more attractive to buyers, where to find them and how to put yourself in line for the best possible deal.

These experts come together to give you the inside track on major deal points, what they mean and what leverage you have to negotiate the best possible deal.

Most people think they can just hand a negotiation to a lawyer, and leave it at that. But as a professional, you need to be aware of the process and deal points, too, and what the implications to your artists’ careers may be.

Most importantly, you will see HOW a license deal is negotiated and be involved in the process.

Get educated about the art of deal-making!

YOU WILL LEARN:

The right time to make a deal.

Major areas of negotiation, including:

  • Terms
  • Options
  • Fee ranges
  • Deliverables
  • Clearances
  • Things to avoid
  • Closing the deal
Sample license agreement will be distributed at event.

Also:

  • Case studies: what works, what doesn’t and why
  • Making the pitch: necessary elements
  • Timing
  • What music buyers such as music supervisors, ad agencies and gaming companies really look for
  • How to increase the impact and marketability of music

2010-05-27 In LA – Mock Negotiation of 360 Record Deal

You are cordially invited to NARIP’s

ART OF THE MUSIC DEAL:
What Happens Before You $ign on the Dotted Line?

Mock Negotiation of
a 360 Record Deal

on Thursday, May 27, 2010 in Los Angeles

With major changes in recording agreements over the past three years, multiple rights or so-called “360 deals” have become more common. In this latest installment of NARIP’s “Art of the Music Deal” series, two top music business attorneys face off in a live negotiation of key deal points and contractual issues that affect an artist’s rights and income, and a record company’s ability to acquire and monetize additional rights.

These experts come together to give you the inside track on major deal points, what they mean and what leverage you have to negotiate the best possible deal.

Most people think they can just hand a negotiation to a lawyer, and leave it at that. But as a professional, you need to be aware of the process and deal points, too, and what the short- and long-term implications to your artists’ careers may be.

Most importantly, you will see HOW a 360 deal is negotiated and be involved in the process.

Get educated about the art of deal-making!

You will learn eight (8) major areas of negotiation for record deals:

1. Artist advance / recording fund
2. Controlled composition clause
3. Guaranteed release clause
4. Pay or play clause
5. No cross-collateralization / separate “pot” for master-tone, voice-tone and DVD monies
6. Tour support / marketing and promotion commitment (videos, etc.)
7. Artist royalty and royalties payable on foreign sales
8. 360 deals: try to limit other ancillary rights (i.e., merchandise, publishing, touring, sponsorships, etc.)

This program will also cover:

– Multiple rights: what are they?
– How to minimize a record company’s involvement in additional rights
– How to obligate a record company to monetize additional rights and maximize returns from a 360 deal
– Important deal points including new 360 provisions, ancillary rights, digital royalties, a discussion of the new publishing royalty rates for mobile, digital downloads, and interactive streaming services.
– The right time to make a deal
– 360 deals for developing artists

ABOUT THE SPEAKERS

Arne Lucas, Director of Mobile Marketing, INgrooves

Arne has spent over half his life in the music industry. His first experience was in the early ‘90s as an artist with the San Francisco-based Soul / R&B vocal group IF. During this time he realized he felt more comfortable behind the scenes, and went on to perfect his skills as a recording engineer. By the mid ‘90s he was chief recording engineer for a full service recording studio located in San Francisco’s Mission District and was working as an executive assistant to the President of a local Bay Area label – Classified Records – which was picked up by Tommy Boy in the late ‘90s.

At the time, the Bay Area music scene was thriving but Arne felt that there was more to accomplish. By now he excelled at the label, getting his hands into everything from A&R duties, to engineering, physical retail distribution and licensing. He was soon hired on full time and thrived at the label. Arne took to the business of music, expanding his knowledge of publishing, licensing and contract negotiations. He moved on to assist in a new music venture for the New York City start-up A Media, which focused on the Asian American entertainment industry.

He was then approached a few years later by his mentor at Classified to take on a Music Supervisor position for 360 Media Group. 360 Media’s flagship product was a DVD series called 360 Video Magazine, a quarterly video magazine that specialized in the import car scene, extreme sports, music and entertainment. Its first mainstream release “Hard Drive” was certified gold and distributed at major retail chains such as Best Buy, Wal-Mart and Target as well as hundreds of smaller retail stores worldwide. After a number of years and over 20 releases under his belt at 360, the DVD market was on a decline so Arne moved into a new career.

In 2003, he accepted a Product Manager position with Hudson Entertainment Inc. who had just acquired the license to The Source Magazine. This was his first experience in the wireless entertainment industry and he hasn’t looked back since. He was integral to bringing what many say was the “Bible of Hip Hop” for over 20 years – The Source Magazine – to mobile. The Source Mobile Channel was one of the only ringtone applications on deck that strictly distributed Hip-Hop/Urban ringtones – this was during the lucrative “polyphonic” era of the ringtone and well before carrier white label mastertone stores such as the ones currently available on Verizon, Sprint, AT&T etc. He eventually moved to a more video game-centric position in mobile as an Account Manager with Namco Networks – working directly with carriers to launch the classic game catalog for mobile from the legendary video game giant. It was here where he learned the intricacies of the carrier world. After close to 2 years peddling mobile video games he decided to get back into the music business and is currently the Director of Mobile Marketing for INgrooves where he oversees a majority of the mobile business for the digital label.

ART OF THE MUSIC DEAL:
What Happens Before You $ign on the Dotted Line?

Mock Negotiation of
a Publishing Deal

on Thursday, April 29, 2010 in Los Angeles

In this latest installment of NARIP’s “Art of the Music Deal” series, two top experts face off in a live negotiation of key deal points and contractual issues in a publishing deal that affect a songwriter’s rights and income.

NARIP’s series de-mystifies deal-making and enables the lawyer and non-lawyer alike to come away with a clear grasp of the most important deal points and leverage available. Infinitely better than merely READING about it, see the deal duked out and DONE right before your eyes.

Most importantly, you will see HOW a publishing deal is negotiated and be involved in the process.

Get educated about the art of deal-making!

You will learn major areas of negotiation for publishing deals including:

  • Songwriter development
  • Advances
  • Sources and types of income
  • Collection & division of income
  • Filing copyright notices
  • Reversion
  • Show me the money! How to ensure effective catalog administration.
This program will also cover:

  • Important deal points including digital royalties, a discussion of the new publishing royalty rates for mobile, digital downloads, and interactive streaming services.
  • The right time to make a deal
  • Publishing deals for developing songwriters
Sample agreement will be provided.

Good news: you’ll find more places than ever to interact with other professionals and reach new audiences.

Bad news: where do you find the time? Between tweets and tags, groups and clouds, friends and feeds, pings and pages, diggs and blogs, you could spend ALL your time on social media and never make a sale.

Get tips, tricks and strategies from industry leader COREY DENIS to maximize investment of your time and get greater response for your client, music or project.

Cindy Rosmann, Owner, Fuze Artz LLC

Cindy Rosmann founded Fuze Artz in 2007 on the heels of a decade at Groove Addicts where she built the company’s music publishing and licensing division. Returning to her entrepreneurial roots, she now integrates talent and publishers that span the globe into her new venture and produces brand-specific audio strategies for film, TV and new media. Collaborating with top media clients and music labels, Fuze Artz creates solutions for the content and delivery issues facing today’s entertainment marketers and music publishers. Focusing on new media and technology that provides artists, music publishers and composers with strategies to market digital content in a multi-platform world, Fuze Artz also creates original music for network branding, promos, trailers, main titles, IDs and entertainment plus music licensing, music supervision, clearance and sonic branding.

Rosmann served as VP and General Manager at Groove Addicts, overseeing and expanding the company’s licensing and publishing division domestically and in the 30 countries where its music is distributed. Joining the company in 1997, Rosmann grew the division’s revenue at a rate of 40% annually until 2001. Responding to the challenges of the dot.com bust, SAG strike and 9/11, Rosmann aggressively launched niche product lines generating multiple revenue streams and turned her attention to getting music on the Web. This strategy worked to dominate market share in a crowded field of music publishers vying for this business. Rosmann was responsible for acquiring content, continually expanding the catalog’s reach into foreign markets which included attracting representation in North America of music from top publishers from around the world. Managing the sales and support staff, Rosmann also worked closely with recording and performing artists. This included bringing new and emerging talent to the company roster, and producing and packaging music for motion pictures, two soundtracks, trailers, video games and advertising campaigns, music libraries and original scores for spots and promos. In the last decade, Rosmann immersed herself in new technologies in an effort to protect copyright assets and provide clients with music in an increasingly digital world. This included using audio watermarking, digital royalty streams, meta-data encoding, retooling and launching the company’s interactive Web sites and bringing new catalogs, like the trailer composer scoring series FULLTILT, to market.

Rosmann came to Groove Addicts from a career in public relations and marketing, previously owning and operating her own consulting firm. Her background includes extensive work for cable industry clients such as Lifetime Network and the NCTA. Rosmann is a member of ASCAP, BMI, SESAC performing rights organizations; PROMAX, an international organization providing education, recognition and interaction for promotion, marketing and design professionals in electronic media; NATPE, National Association of Television Program Executives; AIMP, Association of Independent Music Publishers; CCC, California Copyright Conference; I3DS, a new international 3D Society formed by John Landau, Jim Chabin and Jeffrey Katzenberg to advance the achievement of professionals working in the arts and technologies of Steroscopic 3D. Rosmann is very active locally in the arts community, serving as Chairperson of the Santa Monica Malibu Unified School District Visual & Performing Arts Advisory Committee and working in support of the District’s FOR THE ARTS endowment.

Recent highlights include creating new Promo IDs for the Bravo network launching a new web music search engine; placing “Beautiful Tree,” a song from the Fuse Artz Artistz catalog as the Main Title Theme for the CBS/Warner Bros new show, “Life Unexpected” premiering airing on The CW Network; “Devisitate” from Game Time Glory: The Next Season licensed for the “Clash of the Titans” trailer campaign, due to hits US theaters nationwide in March 2010, plus numerous game, advertising and TV show custom scores and song placements.

ABOUT THE SPEAKERS

Joe Goldberg, Zeitgeist Artist Management

Joe Goldberg is an artist manager at Zeitgeist Artist Management in San Francisco where he works with Death Cab for Cutie, The Postal Service, Bob Mould, She & Him, Dntel, Say Anything and French Kicks. He got his start in the music business at Tower Records at age 14. In college, he wrote about music for Addicted to Noise and Sonic Net. and was a DJ as his college radio station. On graduation in 1999, he moved to New York, landing a job at TVT Records where he started as a marketing assistant. Within a year, he was product managing releases by Guided By Voices and Lil Jon as well as a platinum-selling album by Snoop Dogg. In 2001, Joe moved on to his first job in artist management at Manage This!, a New York-based artist management company. At Manage This!, he worked with Guided By Voices, Cibo Matto, Mark Eitzel and Blonde Redhead among others. He was at Manage This! for 7 years before relocating to San Francisco in 2008 to work at Zeitgeist.

Mike Kappus, Founder, Rosebud Agency

Mike Kappus began his career in his hometown of Eau Claire, WI. During college he promoted regional bands with friends and became a licensed booking agent in 1970 at age 19. Just over a year later he was invited to join an agency in Milwaukee. In his five years working full time as an agent there, he also bought talent for several local showcase clubs and a few festivals and universities. As a talent buyer and promoter he booked artists as diverse as Asleep At The Wheel, Jimmy Cliff, Chuck Berry, Bo Diddley and Sonny Terry and Brownie McGhee to jazz artists Grover Washington Jr., Weather Report, Rahsaan Roland Kirk and George Benson to the MC5 and Ted Nugent. He also established relationships with future Rosebud clients Muddy Waters, Willie Dixon, John Lee Hooker, Mose Allison, John Hiatt and John Hammond who signed to Rosebud in 1977 and marked his 4000th booking with Rosebud in 2008.

In 1976, just months after moving to San Francisco to join a booking agency, that company went under so Kappus started the Rosebud Agency with the concept of offering greater service to an intentionally limited number of timeless rather than trendy artists. The agency currently books close to 2000 shows a year worldwide for its 29 artists. Kappus helped launch the careers of Los Lobos, The Robert Cray Band, Ben Harper, John Hiatt, The Neville Brothers and more while helping to raise the profile of veteran artists such as Captain Beefheart, Muddy Waters, The Staple Singers, The Blind Boys of Alabama, John Lee Hooker and others. As a manager, Kappus’s clients have included Hooker, Hammond, The Dirty Dozen Brass Band, Robert Cray, John Hiatt, Duke Robillard, Loudon Wainwright III, Sierra Leone’s Refugee All Stars and J J Cale, who has been with Rosebud since 1983. As a producer / executive producer Kappus has collaborated on projects with Ry Cooder, Van Morrison, Carlos Santana, Bonnie Raitt and Eric Clapton to name a few. In addition to booking and management duties, Kappus has made CD deals in the past few years for Mavis Staples, Bettye LaVette and Charlie Watts. In addition to Sierra Leone’s Refugee All Stars, his recent booking signings include Bettye LaVette, Bill Frisell, Allen Toussaint, Ruthie Foster, Trombone Shorty, Carrie Rodriguez and Meshell Ndegeocello. Most recently, Kappus was hired by Van Morrison to oversee promotion and marketing for his April 2008 CD “Keep It Simple.” The record’s entry in the Billboard pop charts at number 10 marked the highest ever US chart position in Van Morrison’s lengthy career.

As head of The Rosebud Agency, Kappus has also incorporated policies focused on environmental and social responsibility issues into the company’s daily routine. The Rosebud office was converted to full solar power in 2000 (the largest such installation in San Francisco at the time) and was named in the first wave of green business certifications in San Francisco. Kappus’s environmental concerns have also driven him to coordinate two compilations for environmental non-profit, Earthjustice, featuring artists from Tom Waits and Willie Nelson to Norah Jones, Bob Dylan, Ruben Blades, Michael Franti and many more. He is vice chair of the board of non profit organization, Music In Schools Today and is an active advisory board member for the US-Cuba Cultural Exchange, along with continuous participation in several other non-profit organizations.

What Happens Before You $ign on the Dotted Line?

on Wednesday, February 24, 2010

at Mesa Community College in Mesa, AZ
Co-sponsored by
the Mesa Community College Music Business Program

Once again we bring you top professionals, music attorney Phil Daniels (from Los Angeles) and producer Les Scott, to wrangle a career-making deal.

Most people think they can just hand a negotiation to a lawyer, and leave it at that. But as a professional, you need to be aware of the process and deal points, too, and what the short- and long-term implications to your artists’ careers may be.

In this session, two top experts face off in a live negotiation of a producer agreement in NARIP’s Art of the Music Deal. These experts come together to give you the inside track on major deal points, what they mean and what leverage you have to negotiate the best possible deal.

Most importantly, you will see HOW a producer deal is negotiated and be involved in the process.

Get educated about the art of deal making!

YOU WILL LEARN

The right time to make a deal.

Major areas of negotiation, including:

  • Producer advance vs. recording fund. Did you know it all comes out of the artist’s recording fund?
  • Producer royalty. Did you know it all comes out of the artist’s royalty?
  • Recoupment
  • Terms & Options
  • Controlled Composition Clause: what you need to know if your producer is also your co-writer!
  • What does the artist’s recording agreement say?? THIS affects the producer’s royalty, royalty accountings, mechanical royalties, CD reductions, “fake” free goods and much more!

ABOUT THE SPEAKERS

Howie Edelman, Dottore-DuBois Artist Management

Bruce Kalmick, Partner, Ambiance Artists

Bruce Kalmick’s career achievements begin only 5 short months after graduating from Texas State University. He started his first business, KB Talent LLC with longtime friend Ricky Brown in April 2005. With no bands and little experience the two started splashing around in the shark-infested waters of the music business. After failed attempts at blues, rock, metal, and even some hip-hop, the duo signed their first soon-to-be star Brandon Rhyder. With only 7 months of booking experience and at the tender age of 23, they quickly established themselves as a premiere booking agency for Texas Country acts, developing artists such as The Casey Donahew Band, Adam Hood, The Bart Crow Band, Walt Wilkins, Darren Kozelsky, and of course Brandon Rhyder. After consulting and mentoring some of the most promising up-and-coming bands, Kalmick and Brown expanded their business to include an artist management company in 2007. Bruce has taken acts such as the Josh Abbott Band and Whiskey Myers from virtual unknowns to two of the fastest growing bands ever in the Texas Country scene. In addition, he has signed Texas Country mainstay acts such as Brandon Rhyder, The Kyle Bennett Band and future stars like Courtney Now and Ben Danaher to management deals. He has built lasting connections from Austin to Nashville and L.A. to Paris and beyond that have created opportunities for his bands on a national and international level. ABOUT THE SPEAKERS

Hayley Cammarata, Digital/Strategic Marketing and Product Manager at Decca Label Group/Universal Music Group

Hayley Cammarata, Digital and Strategic Marketing/Product Manager Hayley Cammarata came on board at Decca Label Group, a division of Universal Music Group, in 2007 and developed the Digital Marketing Department from the ground up. As a Digital and Strategic Marketing Manager, some of her responsibilities include managing all DLG artist Web sites and label sites including social networking platforms, developing and maintaining strategic partners and branding relationships for the label and artists as well as managing the department. After developing the department to what it is today, all releases have strong online visibility including mainstream real estate within sites like AOL and Yahoo as well as partnerships with less traditional entertainment sites. On top of all of her duties on the digital side, Hayley also serves as a product manager to some of the label’s new developing artists including indie darling Ladyhawke. The diverse roster at Decca is home to such artists as Andrea Bocelli, Sting, Boyz II Men, David Sanborn, Dee Dee Bridgewater, David Garrett and newcomers Debi Nova and Nikki Yanofsky. Prior to her work at Decca, Cammarata honed her Internet marketing skills at labels such as SonyBMG, Warner/Elektra/Atlantic and completed an internship at ATO Records.

David Chaitt, Manager of Social Distribution at Oddcast, SoundCtrl blogger and freelance social media strategist

So I’m a quarter century old. I live in Brooklyn. Music has been the one of the only things I’ve been passionate about. The pursuit of new music is a reason to wake up in the morning and trying to expose that music is why I can’t sleep at night. When I graduated college, I flirted with the idea of law school, but I soon came to the realization that I wanted to be a part of the music industry in whatever capacity I could. I got an internship with Ropeadope and my life has been constructive chaos ever since. I have dipped my hands in most aspects of music: marketing, booking, promoting, stage management, tour management, journalism, and A&R. I take pride in my ability to learn by doing and am always on the watch to be as educated and informed as I can be about the music business as well as upcoming bands. Currently, I’m the Manager of Social Distribution at Oddcast. After the day job ends, I spend my time on SoundCtrl, a music tech organization based out of NYC, where I’m the blog editor and board member. I’m a being-productive junky so when I’m not working, I’m cooking, exercising, homebrewing beer, reading, writing or catching up on the few TV shows that have any substance these days.

Eric de Fontenay, Publisher / Editor, MusicDish LLC

Eric de Fontenay has spent his career steeped in what has been called the “digital revolution”. In the 90s, he worked on a variety of policy issues surrounding the communication & broadband sectors for telecommunication carriers and regulators across the world. With the emergence of the Internet, Eric established MusicDish (formerly Tag It) in 1997 as a new media firm using emerging technologies and models to produce, package and distribute original web-based content. Making an early bet on the music sector, Eric launched what has grown into some of the leading voices in the growing debates challenging and shaping the industry through its trade e-publications MusicDish and Mi2N. Under his leadership, MusicDish expanded into artist development through saturated marketing and online branding, using innovative strategies such as syndicated and relationship marketing, online street teams and p2p viral distribution. Eric continues to be a frequent speaker at conferences worldwide and today manages Toronto-based ‘kaiso’ band Kobo Town.

Steve Gordon, Esq.

Steve Gordon is an entertainment attorney and consultant based in New York City specializing in the production, distribution and financing of music, television, documentaries, feature films, and digital entertainment projects. He also operates a music clearance service for producers, filmmakers, and labels for use of music in feature films, documentaries, concert programs, DVDs, audio compilations and ringtones. He is author of the book titled “The Future of the Music Business: How to Succeed with the New Technologies, A Guide for Artists and Entrepreneurs.” (Hal Leonard 2008.) Steve’s clients include artists, independent music and TV producers, digital entertainment entrepreneurs as well as major labels and multinational entertainment corporations. Steve won a Fulbright Scholarship to lecture on entertainment and copyright law and was a visiting scholar at Bocconi University in Milan, Italy in fall 2007. You can tune into MyRealBroadcast.com to listen to his Internet radio show on the music business. Steve has also served as an Adjunct Professor at the New School, an Instructor at CUNY Graduate Center and recently moderated seminars at Columbia Law School, the Wharton Business School, and was a speaker at entertainment conferences in Denmark, Belgium, Bahamas and South Korea. From 1991 to 2001 Steve served as an attorney and Director of Business Affairs at Sony Music (TV/Video). Prior to Sony, Steve worked at Dino Di Laurentiis, a movie studio in Hollywood, and a music publishing company, SESAC, in New York. Steve is a graduate of New York University School of Law and a member of the NYC Bar Association.
